1. Acceptance of Terms

By accessing or using the Calls Orbit AI voice agent platform operated by AY Tech Systems LLC at https://www.callsorbit.com and related services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

2. Description of Services

Calls Orbit provides an AI-powered voice agent platform that answers phone calls, captures lead information, and sends notifications on behalf of businesses. Our Services include:

• AI voice agents for call answering
• Lead capture and qualification
• SMS and email notifications
• Call recording and transcription
• Analytics and reporting

3. Account Registration

To use our Services, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to use our Services to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit spam, malware, or harmful content
• Harass, abuse, or harm others
• Impersonate any person or entity
• Interfere with or disrupt the integrity of our Services
• Attempt to gain unauthorized access to our systems
• Use our Services for any illegal telemarketing or robocalling

5. Fees and Payment

5.1 Subscription Plans

Current plan prices and features are shown on our pricing page. We may change published prices for new purchases at any time. For an existing subscription, we will email you at least 30 days before a price increase takes effect, except where a longer notice period or your consent is required by law. A price increase applies at your next renewal after its effective date; it will not be applied retroactively. Any individual agreement with you remains in effect according to its terms.

5.2 Billing

Paid subscriptions renew automatically each month until canceled. You authorize us to charge your payment method for the recurring subscription price, usage charges at the rates disclosed for your plan or service, and applicable taxes. We will email you at least 30 days before a subscription price increase takes effect. You may cancel before the renewal when the increase takes effect through Billing in your account; the current price remains in effect through the end of your then-current billing period. Where applicable law requires a longer notice period or your consent, that requirement applies. You can manage or cancel your subscription in the Billing section of your account.

5.3 Refunds

Fees are non-refundable except for any refund guarantee offered to you at purchase and as required by law. For refund inquiries, please contact support@callsorbit.com.

6. Intellectual Property

6.1 Our Property

AY Tech Systems LLC and its licensors own all rights to the Services, including software, content, trademarks (including "Calls Orbit"), and other intellectual property. You may not copy, modify, distribute, or create derivative works without our permission.

6.2 Your Content

You retain ownership of content you provide through our Services. You grant us a license to use, store, and process your content to provide and improve our Services.

7. Privacy

Your use of our Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information.

8. Call Recording Consent

You are responsible for complying with all applicable laws regarding call recording consent. Our Services may record calls on your behalf. You must:

• Provide disclosures about AI use and call recording when required by applicable law
• Obtain any consent required by law before recording calls or placing calls
• Configure appropriate disclosures in your AI agent greetings

9. AI Technology Disclaimer

Our Services utilize artificial intelligence technology for voice interactions. By using our Services, you acknowledge and agree that:

• AI responses are generated automatically and may not always be accurate, complete, or appropriate for every situation.
• The AI agent is not a substitute for human judgment, professional advice, or emergency services.
• You are responsible for reviewing AI-generated content and verifying any information captured by the AI agent.
• We continuously work to improve our AI technology, but cannot guarantee error-free performance.
• Call handling by AI may differ from human handling, and some callers may prefer to speak with a human representative.

IMPORTANT: Our AI agents should not be used for emergency services, medical advice, legal advice, or any situation where human judgment is critical. Always ensure callers have access to appropriate human support when needed.

10. SMS Messaging Services

10.1 SMS Terms

SMS features are governed by our SMS Compliance Terms of Service, which are incorporated by reference into these Terms.

10.2 SMS Registration

By using SMS features, you agree to:

• Complete SMS compliance registration (10DLC or Toll-Free)
• Pay applicable registration and monthly fees (non-refundable)
• Comply with all messaging regulations including TCPA
• Obtain proper consent before sending SMS messages

10.3 SMS Availability

SMS capabilities are only available after your registration is approved. Email notifications remain available regardless of SMS registration status.

11. Service Level and Support

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We will make reasonable efforts to notify you of planned maintenance. Support is provided according to your subscription plan.

12. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AY TECH SYSTEMS LLC (CALLS ORBIT) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless AY Tech Systems LLC (Calls Orbit) and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our Services or violation of these Terms.

15. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting us. We may suspend or terminate your access if you violate these Terms.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through our Services. Continued use after changes constitutes acceptance of the new Terms.

17. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of San Francisco County, California.

18. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and AY Tech Systems LLC (Calls Orbit).
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any right does not constitute a waiver.
• Assignment: You may not assign these Terms without our consent.
