Calls Orbit provides an AI-powered voice agent platform that answers phone calls, captures lead information, and sends notifications on behalf of businesses. Our Services include:

3. Account Registration

To use our Services, you must create an account. You agree to:

4. Acceptable Use

8. Call Recording Consent

You are responsible for complying with all applicable laws regarding call recording consent. Our Services may record calls on your behalf. You must:

• Ensure callers are notified that calls may be recorded when required by law
• Obtain any required consent for call recording
• Configure appropriate disclosures in your AI agent greetings
• Disclose AI use at the beginning of calls (required by California AB 2905 and FCC regulations)

9. AI Technology Disclaimer

Our Services utilize artificial intelligence technology for voice interactions. By using our Services, you acknowledge and agree that:

• AI responses are generated automatically and may not always be accurate, complete, or appropriate for every situation.
• The AI agent is not a substitute for human judgment, professional advice, or emergency services.
• You are responsible for reviewing AI-generated content and verifying any information captured by the AI agent.
• We continuously work to improve our AI technology, but cannot guarantee error-free performance.
• Call handling by AI may differ from human handling, and some callers may prefer to speak with a human representative.

IMPORTANT: Our AI agents should not be used for emergency services, medical advice, legal advice, or any situation where human judgment is critical. Always ensure callers have access to appropriate human support when needed.

10. SMS Messaging Services

10.1 SMS Terms

SMS features are governed by our SMS Compliance Terms of Service, which are incorporated by reference into these Terms.

10.2 SMS Registration

By using SMS features, you agree to:

• Complete SMS compliance registration (10DLC or Toll-Free)
• Pay applicable registration and monthly fees (non-refundable)
• Comply with all messaging regulations including TCPA
• Obtain proper consent before sending SMS messages

10.3 SMS Availability

SMS capabilities are only available after your registration is approved. Email notifications remain available regardless of SMS registration status.

11. Service Level and Support

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We will make reasonable efforts to notify you of planned maintenance. Support is provided according to your subscription plan.

12. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AY TECH SYSTEMS LLC (CALLS ORBIT) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless AY Tech Systems LLC (Calls Orbit) and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our Services or violation of these Terms.

15. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting us. We may suspend or terminate your access if you violate these Terms.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through our Services. Continued use after changes constitutes acceptance of the new Terms.

17. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of San Francisco County, California.

18. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and AY Tech Systems LLC (Calls Orbit).
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any right does not constitute a waiver.
